What is considered spam?

I work for a company that wants to send out emails to prespective clients and schools. We have all the addresses and have used them before. We also have some, very minimal, but some relationships with these schools. What my question is, is if we put all the email addresses we have on a mailing list, and send them a monthly newsletter just updating them on local grant programs and technology updates, is that considered spam? Do I have to get thier permission to send them emails first? Or can I just send it to them and have them unsuscribe if they dont want it? I just dont know if I have to personally call all these schools, because there are more than 2500 of them.

Send it out, but make it clear they can cancel any time.
